Terms and Conditions

These Terms and Conditions govern your access to and use of Solvotix websites, software, connected devices, and related services. By using the services, you agree to these terms.

1. About Solvotix

The services are provided by Solvotix AS, Nordre Sønset 18, N-3158 Andebu, Norway, organization number 935 999 081. References to “Solvotix”, “we”, “us”, or “our” mean Solvotix AS.

2. Eligibility and accounts

You must have the legal authority to accept these terms. If you use the services for an organization, you confirm that you are authorized to bind that organization.

You are responsible for providing accurate account information, protecting login credentials, and promptly notifying us of suspected unauthorized access.

3. Services, orders, and subscriptions

The features, scope, fees, subscription period, and any service levels are set out in the applicable order, offer, or separate agreement. If that agreement conflicts with these terms, the separate agreement takes priority.

Subscriptions renew only as stated in the applicable order. Prices exclude taxes unless expressly stated otherwise. Payments must be made by the stated due date.

4. Devices and installation

Connected devices must be installed, configured, maintained, and used according to our documentation and applicable laws. Electrical, access-control, fire-safety, or other regulated work must be performed by qualified professionals.

You are responsible for suitable power, network connectivity, compatible third-party equipment, and a safe installation environment.

5. Customer responsibilities

You remain responsible for your buildings, operations, users, access permissions, automation rules, backups, and decisions made using service data. You must keep emergency procedures and appropriate manual alternatives where a service interruption could affect safety or access.

You must ensure that your use of the services and any personal data you process complies with applicable law.

6. Acceptable use

You may not misuse the services, interfere with their operation, bypass security controls, access another customer’s data, introduce malicious code, reverse engineer protected components except where law permits, or use the services for unlawful or harmful purposes.

7. Data and privacy

You retain your rights in data you submit to the services. You grant us the rights needed to host, process, transmit, and back up that data to provide, secure, support, and improve the services.

Our Privacy Policy explains how we process personal data. Where required, the parties will enter into a separate data processing agreement.

8. Third-party services

The services may integrate with third-party products or platforms. Their availability and terms are controlled by their providers. Solvotix is not responsible for third-party services, but we will provide reasonable assistance with integrations we officially support.

9. Intellectual property

Solvotix and its licensors retain all rights in the services, software, documentation, designs, trademarks, and related technology. Subject to payment and these terms, we grant you a limited, non-exclusive, non-transferable right to use the services during the agreed term.

10. Availability and warranties

We provide the services with reasonable care and skill and aim for reliable availability. Unless expressly agreed, the services are provided without a guarantee that they will always be uninterrupted or error-free.

Nothing in these terms excludes rights or warranties that cannot legally be excluded.

11. Liability

To the extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill, or anticipated savings. Solvotix’s total liability arising from the services is limited to the fees paid for the affected services during the twelve months before the event giving rise to the claim.

These limitations do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, breach of confidentiality or data-protection obligations, or liability that cannot be limited by law.

12. Suspension and termination

We may suspend access where reasonably necessary to protect security, prevent unlawful use, avoid harm, or address overdue payment. We will give notice where practical.

Either party may terminate as stated in the applicable order or if the other party materially breaches the agreement and does not remedy the breach within a reasonable notice period. Accrued payment obligations and provisions intended to survive termination remain effective.

13. Changes to these terms

We may update these terms to reflect changes in law, security, or the services. Material changes will be communicated in advance where reasonably possible. Continued use after the effective date constitutes acceptance of the updated terms.

14. Governing law and contact

These terms are governed by Norwegian law. Disputes will be subject to the courts of Norway, with Vestfold District Court as the agreed venue, unless mandatory law requires otherwise.
